These Terms of Service ("Agreement") govern the use of Nvest Analytics' software-as-a-service platform, TassaValore ("Service"), by you or the entity you represent ("Customer").
Customer is granted a limited, non-exclusive, non-transferable right to access and use the Service for internal business purposes in accordance with this Agreement.
Customer shall not:
Customer may access publicly available property tax data, assessed valuations, and related county appraisal district records through the Service. The Service aggregates data from county appraisal districts and other public sources. While we strive for accuracy, Nvest Analytics does not guarantee the completeness or timeliness of third-party data and is not responsible for errors in source records.
Customer may upload proprietary documents to the Service, including but not limited to trailing twelve-month (T12) financial statements, rent rolls, appraisal reports, property tax notices, and other property-related materials ("Uploaded Documents").
Customer retains full ownership of all Uploaded Documents. By uploading documents, Customer grants Nvest Analytics a limited license to store, process, and analyze those documents solely for the purpose of providing and improving the Service to Customer.
Nvest Analytics retains Uploaded Documents on its servers for the duration of the Customer's account and for a reasonable period thereafter to support appeals, audits, and historical recordkeeping. Uploaded Documents are not sold, licensed, or transferred to any third party.
Customer represents and warrants that it has all rights necessary to upload and process each document through the Service, and that doing so does not violate any third-party rights or applicable law.
Nvest Analytics does not sell, rent, or trade Customer data or Uploaded Documents to any third party for commercial purposes. Data may be shared with trusted infrastructure and service providers (e.g., cloud hosting) solely to operate the Service, under confidentiality obligations.
Nvest Analytics maintains commercially reasonable administrative, physical, and technical safeguards to protect Customer Data and Uploaded Documents. These include data encryption in transit and at rest, access controls, and role-based permissions aligned with industry best practices.
All intellectual property related to the Service, including software, documentation, and derived analytics, remain the sole property of Nvest Analytics. Nothing in this Agreement transfers any ownership of the Service or its underlying technology to Customer.
Customer agrees to indemnify, defend, and hold harmless Nvest Analytics and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Nvest Analytics reserves the right to assume exclusive control of any matter subject to indemnification by Customer, at Customer's expense, and Customer agrees to cooperate fully in such defense.
Either party may terminate the Agreement with written notice. Upon termination, Customer's access will cease. Uploaded Documents and associated data will be retained for a reasonable transition period and then removed per our data retention policy, unless Customer requests earlier deletion in writing.
The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Nvest Analytics makes no guarantee regarding uptime, completeness of data, or fitness for any specific tax appeal outcome.
Nvest Analytics shall not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits or loss of data. Total aggregate liability of Nvest Analytics shall not exceed the fees paid by Customer to Nvest Analytics in the six (6) months preceding the claim giving rise to liability.
We reserve the right to modify these terms at any time. Continued use of the Service after notice of changes constitutes acceptance of the updated terms.
This Agreement is governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Dallas County, Texas.
For users outside the United States, any dispute shall still be governed by the laws of the State of Texas and resolved exclusively in the state or federal courts located in Dallas County, Texas, unless otherwise required by mandatory applicable law.
